Liquidmetal(R) Technologies to File Amendment to Form 10-K

LAKE FOREST, Calif.--(BUSINESS WIRE)--March 29, 2006--The NASD informed Liquidmetal Technologies (OTCBB:LQMT) on March 28, 2006 that, pending the filing of an amendment to Liquidmetal's Form 10-K for the 2005 fiscal year containing additional information requested by the NASD, an "e" has been placed next to Liquidmetal's trading symbol on the OTC Bulletin Board effective Tuesday March 28th, 2006. The NASD informed Liquidmetal that, in order for Liquidmetal's common stock to continue to be eligible for quotation on the OTC Bulletin Board, Liquidmetal needs to include a statement in its Form 10-K for the 2005 fiscal year indicating that the company's management has entirely completed an assessment of the company's internal controls over financial reporting and stating management's conclusions from such assessment. The NASD has informed the company that the company can regain compliance with OTC Bulletin Board requirements by filing a 10-K amendment containing such information, even if even if such amendment continues to contain a disclaimer of opinion by the company's independent auditor with respect to such assessment. Liquidmetal Technologies has a thirty day period to file such an amendment that is acceptable to the NASD before its common stock is no longer eligible for quotation on the OTC Bulletin Board, and the company is currently diligently working toward preparation and filing this amendment within the prescribed time period.
